1. Acceptance of Terms

By accessing or using the website www.bobacore.hair, any related subdomains, or engaging the services of Boba.Nvd Corp. (referred to as the Company, we, us, or our), you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you must not access our website or use our services.

These Terms of Service constitute a legally binding agreement between you (the user, client, or visitor) and Boba.Nvd Corp., 18 Morris Dr, Angus, ON L3W 0M5, Canada. We reserve the right to modify these terms at any time, and such modifications will be effective immediately upon posting.

2. Description of Services

Boba.Nvd Corp. provides professional services in the fields of computer systems design, system integration, information technology consulting, and managed technical services. Our offerings include but are not limited to:

• Computer systems architecture, design, specification, and deployment planning.
• Cross-platform system integration, API development, middleware solutions, and legacy system modernization.
• Strategic IT consulting, technology evaluation, digital transformation planning, and governance frameworks.
• Managed technical support, infrastructure monitoring, security auditing, and disaster recovery planning.

The specific scope, deliverables, timelines, and fees for each engagement will be defined in a separate service agreement or statement of work executed between the Company and the client. In the event of any conflict between these Terms of Service and a specific service agreement, the service agreement shall prevail.

3. Intellectual Property Rights

All content, materials, designs, methodologies, software, documentation, and deliverables created or provided by Boba.Nvd Corp. in the course of our services, including but not limited to system architectures, technical specifications, integration frameworks, code, and analytical models, are the intellectual property of the Company unless otherwise explicitly agreed in writing.

Upon full payment for services rendered, the client receives a limited, non-exclusive, non-transferable license to use the deliverables for their intended business purpose. This license does not include the right to sublicense, distribute, or create derivative works without prior written consent from Boba.Nvd Corp.

The Boba.Nvd Corp. name, logo, and related branding elements are registered and unregistered trademarks of the Company and may not be used without prior written authorization.

4. Client Obligations

Clients engaging our services agree to:

• Provide accurate, complete, and timely information necessary for the delivery of services.
• Designate a point of contact authorized to make decisions and provide approvals on behalf of the client organization.
• Provide reasonable access to systems, personnel, and facilities as needed for service delivery.
• Pay all fees and expenses in accordance with the terms specified in the applicable service agreement.
• Maintain the confidentiality of any proprietary information shared during the engagement.

5. Website Use and Acceptable Conduct

When accessing our website, you agree not to:

• Use the website in any way that violates applicable local, provincial, national, or international law or regulation.
• Attempt to gain unauthorized access to any part of the website, servers, or systems connected to the website.
• Introduce malicious code, viruses, or any other harmful material to the website or its infrastructure.
• Engage in any activity that disrupts or interferes with the proper functioning of the website.

6. Limitation of Liability

The total cumulative liability of the Company for any claims arising under these Terms of Service or from the use of our services shall not exceed the total amount of fees paid by the client to the Company during the twelve-month period immediately preceding the event giving rise to the claim. This limitation applies regardless of the theory of liability, whether in contract, tort, or otherwise.

7. Indemnification

You agree to indemnify, defend, and hold harmless Boba.Nvd Corp., its directors, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses arising out of or related to your use of our website, your violation of these Terms of Service, or your infringement of any intellectual property or other rights of any third party.

8. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary or confidential information disclosed during the course of any engagement. Confidential information includes but is not limited to business strategies, technical data, system architectures, client lists, financial information, and project specifications.

Confidentiality obligations shall survive the termination of any service agreement for a period of five years. These obligations do not apply to information that is publicly available, already known to the receiving party, independently developed, or required to be disclosed by law.

9. Termination

Either party may terminate a service agreement in accordance with the termination provisions specified in the applicable service agreement. In the absence of such provisions, either party may terminate upon thirty days written notice.

Upon termination, the client shall pay for all services rendered up to the effective date of termination. Sections of these Terms of Service concerning intellectual property, confidentiality, limitation of liability, indemnification, and governing law shall survive termination.

10. Governing Law

These Terms of Service and any service agreements entered into with Boba.Nvd Corp. shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising under these terms shall be resolved exclusively in the courts of Ontario, Canada.

The parties irrevocably submit to the personal jurisdiction of such courts and waive any objection to venue or inconvenient forum. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms of Service or any related service agreements.

11. Force Majeure

Neither party shall be held liable for any delay or failure in performance resulting from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government actions, pandemic, or failure of critical infrastructure. The affected party shall provide prompt notice of such circumstances and use reasonable efforts to resume performance as soon as practicable.

12. Entire Agreement

These Terms of Service, together with any applicable service agreement or statement of work, constitute the entire agreement between you and Boba.Nvd Corp. with respect to the subject matter hereof and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.

If any provision of these Terms of Service is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The failure to enforce any right or provision of these terms shall not constitute a waiver of such right or provision.
